About the company:

The mining industry has steadily become worse at finding new ore deposits, requiring >10X more capital to make discoveries compared to 30 years ago. The easy-to-find, near-surface deposits have largely been found, and the industry has chronically under-invested in new exploration technology, relying on the manual techniques of yesteryear – even as demand accelerates for copper, lithium, and other metals to build electric vehicles, renewable energy, and data centers.

KoBold builds AI models for mineral exploration and deploys those models—alongside our novel sensors—to guide decisions on KoBold-owned-and-operated exploration programs. In the six years since founding, KoBold has become by far both the largest independent mineral exploration company and the largest exploration technology developer. Our data scientists and software engineers, who come from leading technology companies, jointly lead exploration programs with our renowned exploration geologists.

KoBold has proven its first discovery with materially less capital than the industry average and found one of the best copper deposits ever discovered: the copper is far more concentrated than the global average of copper mines, and this asset alone is expected to generate meaningful revenue for decades. KoBold has a portfolio of more than 60 other projects, each of which has the potential for another high-quality discovery.

KoBold is privately held; investors include institutional asset managers T. Rowe Rice and Canada Pension Plan Investments; technology venture capitalists Andreessen Horowitz, Breakthrough Energy Ventures, BOND Capital, and Standard Investments; and natural resources companies Equinor, BHP, and Mitsubishi.

KoBold Metals is looking for a Global Tax Counsel to join our growing Tax Team. This role will be responsible for supporting planning, M&A, transfer pricing, and controversy needs of the tax function and will be reporting to the VP of Tax.

Responsibilities

  • Lead the development and implementation of the company's overall tax planning strategy to optimize tax efficiency and minimize the organization's tax liabilities; conduct thorough analysis of the company's operations, transactions, and financial data to identify opportunities for tax optimization and planning.

  • Prepare detailed tax planning recommendations and proposals, presenting them to senior leadership for approval and coordinate the implementation of approved tax planning strategies, ensuring proper documentation and execution.

  • Oversee that local transfer pricing documentation and reporting obligations are complied with in line with local regulations.

  • Provide active support and decision making related to mergers & acquisitions, complex partnerships and joint ventures, restructuring, etc. to ensure business planning accounts for relevant tax considerations.

  • Ensure tax efforts are 'audit ready', proactively manage tax audits from local tax authorities and other government agencies and resolve issues raised on audit strategically and efficiently.

  • Responsible for managing KoBold’s tax risk profile and escalating risks to the VP of Tax.

  • Stay up to date on the latest changes in US and foreign tax laws, regulations, and incentives, and evaluate their impact on the business.

  • Drive collaborations across KoBold teams to provide advice and support business initiatives.

  • Support tax value added projects including but not limited to supply chain optimization, tax efficient cash repatriation planning, debt/equity analysis, etc.

  • Partner with tax compliance and FP&A teams to improve standardization as well as automation.

Qualifications

  • A CPA certification or equivalent, or a Juris Doctor degree and admitted to practice law in a US state.

  • 8+ years of tax experience including international tax planning, M&A, transfer pricing, and controversy.

  • Extensive knowledge of US international tax laws and tax planning and research.

  • Demonstrated meticulous strong attention to detail and analytical, organizational, project-management and problem-solving skills, with the ability to manage multiple tasks and competing priorities.

  • Demonstrated ability to quickly absorb and synthesize complex information, with a track record of high intellectual rigor in a professional setting.

  • Exceptional curiosity and eagerness to learn, with a proactive approach to exploring new concepts and technologies.

  • Roll up your sleeves and do whatever is necessary to drive results, even if it's outside your normal areas of focus.

  • Strong oral, written, interpersonal, technical communication and presentation skills.

  • Demonstrated program management capabilities managing projects with remote, diverse teams.

  • Ability to work effectively in a collaborative environment.

  • Strong written and verbal proficiency in English.

  • Approach your role with a high moral compass and integrity.

Additional (Preferred) Qualifications

  • LL.M. and/or MS in Tax

  • Big 4 experience

  • Experience working in multi-national complex organizations, preferably within the Technology industry.
