Corporate Counsel

The Corporate Counsel will report to the CFO and will be the company’s first in-house attorney. As the company’s first legal hire, this attorney will help build the legal function and ensure the company is making the correct decisions to advance and protect the company’s business and legal interests. This person will be responsible for day-to-day transactional work and counseling on general corporate matters such as commercial contracts, governance, various business initiatives and employment matters.

How you'll add value:

• Personally negotiate, draft, review and advise on key company agreements, including without limitation customer, vendor and partner contracts and NDAs

• Assist in managing outside counsel

• Assist as necessary on M&A initiatives

• Support Board meetings and Board related matters

• Advise on employment issues

• Be a trusted advisor to the leadership team on legal matters critical to the growth of the business

• Provide pragmatic advise and recommendations

• Understand R365’s industry, operations, products, and sales model to help mitigate risks and find creative and cost-effective solutions to legal issues

What you'll need to be successful in this role:

• The ideal candidate will have about 7 – 9 years of legal experience with prior or current experience in SaaS.

• Bachelors Degree Required

• Licensed to practice law in one of U.S. States or District of Columbia.

• Juris Doctor Degree from ABA Accredited University Required

• Experience in an in-house capacity

• Experience negotiating, drafting, reviewing and advising on agreements including high value SaaS agreements

• Corporate governance experience

• Experience supporting enterprise sales, product and operations teams

• Have a bias toward action in situations where decisions need to be made with incomplete information

• Be pragmatic and have the right risk tolerance for working at a high-growth business

• Excellent problem solving skills

• Experience with employment law

• Ability to work with stakeholders at all levels within and outside of Restaurant365

R365 Team Member Benefits & Compensation

• This position has a salary range of $165K-$225K. The above range represents the expected salary range for this position. The actual salary may vary based upon several factors, including, but not limited to, relevant skills/experience, time in the role, business line, and geographic location.
