Position Summary:

The Contracts Manager role is an integral part of TD2’s administrative team. This role is primarily responsible for collaborating with Legal and Business Operations leadership in negotiating, executing, and tracking corporate contracts and related record keeping through TD2’s LinkSquares legal database. This position will assist TD2 in all areas of contract management and complex commercial contracts.

Essential Functions:

  • Manage a growing volume of historic and active contracts throughout the entire lifecycle for an oncology drug development services firm offering preclinical, clinical, and regulatory services.

  • Participate in the drafting of contracts from established templates and review incoming contracts from third parties. These contracts include, but are not limited to, Master Services Agreements, Statements of Work, Change Orders, License Agreements, and Clinical Trial Agreements with the sites.

  • Identify, escalate, and mitigate risks presented throughout the contract lifecycle, especially as they relate to Clinical Trial Agreements with the sites.

  • Participate in the review and approval of vendor contracts and invoices.

  • Ensure the accuracy and appropriateness of contract text and accompanying attachments.

  • Develop and maintain future contract templates.

  • Maintain deadlines on deliverables and communicate on an ongoing basis with business partners and internal clients about contractual issues.

  • Perform periodic reviews of ongoing contracts and provide resolution services whenever an issue arises.

  • Work within TD2’s contract management software (LinkSquares) to support legal and business operations to ensure a simplified and accurate workflow.

  • Act as main point of contact for the contracts database and prepare reports and summaries from the database as needed.

  • Perform other duties as assigned.

Job Requirements:

  • Bachelor’s Degree is required.

  • 3+ years’ experience in biotechnology, pharmaceuticals, or contract clinical research organizations is required.

  • Experience with negotiating contracts outside of the United States is preferred.

  • 5+ Years of relevant professional work experience in commercial law practice, in-house or as a paralegal or contract administrator in a high-volume business.

Required Specialized/Technical Skills:

  • Experience in drafting, reviewing or negotiating commercial contracts.

  • Familiarity with nonclinical, clinical, and regulatory contracts.

  • Strong computer skills including proficiency in Microsoft Office applications.

  • Highly organized.

  • Careful attention to detail.

  • Ability to think critically and analytically.

  • Excellent written and verbal communications skills.

  • Ability to work independently in a fast-paced environment.

  • Ability to work under pressure and meet deadlines.
