Contracts and Negotiations Manager
The Role
As a Contracts and Negotiations Manager, a vital member of the Commercial Legal team, you will work closely with our Sales, Client Success, Finance, Deal Desk, Security, Vendor and other teams. You will assist with drafting, negotiation and administration processes for customer and vendor agreements, ensuring smooth and effective contract review and handling related functions, such as working on contracting playbooks, responding to RFPs, managing changes to our contract templates, and addressing contract requests from various stakeholders.
You will drive operational excellence and optimize contract management through advanced AI-enabled technologies for efficient, accurate contract execution. You will also assist with projects and continuous process improvement to help our company scale by adding efficiency and rigor to our existing processes, acting as the primary point of contact for our contract lifecycle management system and spearheading new initiatives for our team. This position will report to the Associate General Counsel, Commercial Legal.
This position is fully remote, though not eligible to be performed in Hawaii.
What You’ll Do
Draft, negotiate and manage agreements for various deals, including client, vendor, and partnership transactions and renewals, applying strategic, solution-oriented, and practical approaches to move deals forward
Provide contract administration support to the Legal, Sales, Client Success, Vendor and other teams, from drafting to negotiation to execution to archiving to contract renewal
Review customer and vendor requests for contract amendments and work with internal business partners to respond to such requests in accordance with company processes and policies
Contribute to a variety of agreements and legal documents, including user terms, sales and vendor agreements, and data processing agreements
Provide guidance to various stakeholders on commercial and administrative matters in a fast-paced environment
Triage commercial legal requests and serve as the primary point of contact to answer routine questions regarding our standard agreements and policies
Drive internal process improvements and standard practices, including creating internal legal resources, fine-tuning our contract lifecycle management system, and improving contracting processes and policies
Design and conduct internal training regarding contracting and administrative matters
Propose creative ideas as to how the Legal team can support the company as we scale
Who You Are
Bachelor’s degree required
3-6 years of in-house contract drafting and negotiation experience and contract lifecycle management
Experience independently supporting customer and vendor commercial contracting; excellent drafting and negotiation skills; and top-notch communication and time management skills
Strong analytical skills, ability to review legal documents and accurately communicate legal positions to internal business partners
Track record of successfully initiating, driving, and implementing processes to increase efficiency within legal teams
Experience working with contract lifecycle management systems (experience with Ironclad and AI-enabled legal tools is a plus)
Demonstrated ability to exercise sound judgment on key decisions in deal negotiation, developing the contracts administration function, and recognizing circumstances that require escalation
Proven ability to manage projects, build strong relationships with internal business stakeholders, develop solutions, and deliver prompt and accurate information
Adept at operating in a fast-paced, dynamic work environment
