Senior Paralegal/Senior Contracts Specialist
About the role
D-Wave is seeking a Senior Paralegal or Senior Contract Specialist with broad-based corporate and commercial legal experience to join our Legal department. This role supports global commercial contracting and legal operations and reports to the Manager, Commercial Counsel. You will operate with a high degree of independence, judgment, and ownership, serving as a trusted partner to internal business teams. This role is fully remote; candidates must be located in Canada or the United States.
What you'll do
Provide senior-level commercial contracting and operational support to the Legal team; proactively partner with cross-functional stakeholders to meet business needs
Independently draft, review, negotiate, and finalize commercial agreements using approved templates (e.g., NDAs, SaaS, consulting, vendor and supplier agreements)
Review and negotiate third-party terms, identify legal and business risk areas, and propose practical, business-aligned solutions and fallback positions
Support execution of complex commercial transactions (e.g. collaboration, technology, consulting, and financing-related agreements), including managing workflows, coordinating internal and external stakeholders, and driving agreements through signature
Prepare and maintain documentation for corporate entity management and other general corporate matters
Manage and continuously improve contracting tools, processes, and controls, including contract lifecycle management systems and deadline tracking
Serve as a primary point of contact for routine commercial contracting inquiries; exercise judgement on when to escalate matters to Legal Counsel as appropriate
Identify, recommend and help implement opportunities to standardize, scale, and improve contracting templates, playbooks and processes in a growing global environment
About You
Bachelor’s degree in legal studies, business, or a related field with 6+ years of experience as a paralegal or contract specialist supporting commercial and corporate transactions, gained in a law firm and/or in-house environment; or relevant paralegal certification with 8+ of experience
Demonstrated ability to operate as a senior individual contributor with minimal supervision, exercising sound judgment on risk, priorities, and execution
Strong experience independently drafting, reviewing and negotiating commercial agreements, and managing a high volume and complex workload
Proven ability to manage competing priorities in a fast-paced, global, cross-functional environment while delivering high-quality, timely outcomes
Strong relationship-building skills with a practical, business-focused approach to problem solving and stakeholder support
Intellectual curiosity and commitment to staying informed on relevant laws, regulations, and industry guidance impacting commercial contracts and operations
