Senior Legal Counsel - Public Sector & Commercial
*This is a remote position that must be based in the United States (preference for EST or CST).
**This role requires U.S. citizenship to qualify for, and maintain, a government security clearance.
Job Summary
Tines is seeking a proactive, business oriented Senior Legal Counsel, Public Sector and Commercial to join our growing Legal team. You will report to our Director of Legal ( based in U.S. -central time ) and will play a critical role in helping Tines scale its global public sector business, supporting complex government contracting efforts and commercial transactions across multiple regions. This is a high-visibility, hands-on position for a lawyer who thrives in a fast-paced environment and enjoys building structure in ambiguity.
We are looking for someone with an ownership mindset who moves confidently in the unknown, drives clarity, and builds repeatable, scalable frameworks that help Tines operate effectively in regulated and enterprise markets around the world.
What you will be doing:
- Lead and Negotiate Public Sector and Commercial Transactions - Partner with internal stakeholders to manage public sector and commercial contracting across the full deal lifecycle, from RFP and proposal support through negotiation and execution. 
- Draft, review, and negotiate a wide range of agreements including SaaS subscription agreements, master services agreements (MSAs), professional services agreements, subcontracts, teaming agreements, and channel or reseller arrangements. 
- Support both direct and indirect sales models across public and private sector opportunities, ensuring contracts align with Tines’ operational, security, and compliance standards. 
- Partner with global Sales teams on enterprise commercial contracts, renewals, and complex customer negotiations. 
- Develop and maintain templates, playbooks, and scalable contracting processes to accelerate deal velocity while maintaining compliance. 
 
- Provide Strategic Counsel on Government Contracting and Compliance - Act as the primary legal advisor and builder of foundational frameworks for government contracting matters, including U.S. Federal, SLED, and non-U.S. public sector frameworks. 
- Advise on procurement requirements such as the Federal Acquisition Regulation (FAR), DFARS, and state or regional equivalents. 
- Provide guidance on compliance requirements including FedRAMP, CMMC, ITAR, and export control obligations. 
 
- Collaborate Cross-Functionally - Provide pragmatic legal advice on data protection, privacy, IP, and commercial contracting issues arising in both public sector and enterprise customer contexts. 
- Build strong, trust-based partnerships with internal stakeholders across go-to-market, security, finance, and product teams. 
- Take ownership of complex, unstructured problems and design practical, business-aligned solutions that balance risk and growth. 
- Contribute to the continued build-out of the in-house Legal function, helping to establish repeatable, scalable processes as Tines expands globally. 
 
What you bring with you:
- J.D. (or equivalent) and active U.S. bar membership in good standing. 
- 7+ years of post-qualification experience. 
- Demonstrated experience across the software procurement lifecycle (SaaS and on-prem), whether from a vendor or enterprise-buyer perspective 
- Expertise in U.S. Federal procurement frameworks; SLED experience a plus. 
- Proven experience negotiating complex technology and professional services contracts with government and commercial customers, as well as key channel, reseller, and strategic partner agreements. 
- Familiarity with FedRAMP, CMMC, ITAR, export control, and data sovereignty requirements. 
- Strong commercial judgment with the ability to balance legal risk and business objectives. 
- Excellent drafting, negotiation, and communication skills, with the ability to explain complex legal issues in plain language. 
- Comfortable creating structure, improving processes, and operating independently in the unknown. 
Bonus Points:
- Experience supporting international public sector transactions, including compliance with cross-border procurement frameworks or data localization requirements. 
- Familiarity with state cooperative purchasing vehicles (e.g., Texas DIR, NASPO ValuePoint, GSA MAS, SEWP, ITES-SW2). 
- Experience advising on FOCI or facility clearance (FCL) frameworks. 
- Prior work supporting multi-jurisdictional commercial contracting in a SaaS environment. 
Target Annual Compensation: $185k - $200k salary + equity
