Reporting to the Chief Legal Officer, the Senior Corporate Counsel will work on a variety of parent and international subsidiary corporate governance, compliance and regulatory matters with other members of the legal team, and members of our Finance, People, and Marketing teams, among others. You will be working on a variety of projects across the company - some projects will be proactive and owned by you, for others you will be a collaborative member of the team of both internal and external stakeholders to ensure that legal risks have been considered and mitigated wherever possible. The role will be challenging and is expected to evolve over time as the legal team and the broader business scales.

This is a Remote opportunity within Canada and the U.S.
What we're looking for:
- A J.D. or LL.B. or equivalent degree, with provincial or state bar membership.
- 7+ years experience practicing at a combination of law firm and in-house, including experience working at a SaaS company.
- Excellent issue-spotting and pragmatic problem-solving skills, creative thinker who can develop novel approaches to complex issues. Excellent professional judgment with a practical, solutions-oriented focus to effectively and proactively provide sound legal advice.
- Ability to handle many projects simultaneously, to manage tight deadlines, and to triage and prioritize effectively. Ability to work both in teams and independently.
- Strong interpersonal and relationship-building skills, ability to build relationships within the legal team and across the business to collaborate cross-functionally.
- Outstanding communication skills, written and verbal.
- Experience managing external legal counsel, especially in international jurisdictions.
- Experience building and scaling legal teams and processes.
- Comfort with ambiguity and ability to adapt in a fast-paced culture.
What you can expect:
- Working closely with the business on a variety of files - including support for our Finance, HR, Marketing and Security teams.
- Corporate governance matters: entity formation and set-up, annual meetings/resolutions/filings and other corporate maintenance matters, working with the Finance and Tax teams and supporting the Corporate Secretary and Board.
- Work on capital markets transactions and mergers and acquisitions.
- Providing advice to the business on various compliance, regulatory and other matters, such as reviewing marketing materials and initiatives. Staying current on new developments and flagging issues proactively and preemptively.
- Draft, revise and manage various internal policies, including developing and coordinating training.
- Assisting where needed on other legal matters and support other legal functions as necessary.
