About the Role

Armada is seeking an experienced and dedicated Legal Counsel to join our team and play a pivotal part in our growth. This role offers an exciting opportunity to provide strategic legal guidance and ensure compliance across various business operations, with projects primarily focused oninternational expansion, international entity management and governance, market entry, compliance, and other tasks as assigned by the Head of Legal.

Location: This role is remote in the continental United States.

What You’ll Do (Key Responsibilities)

  • Lead legal workstreams forinternational expansion, including entity formation, local governance, and compliance requirements in new jurisdictions.

  • Supportmarket entry initiatives, advising on regulatory, commercial, and compliance considerations for new geographies.

  • Manageinternational entity governance, including board/shareholder approvals, corporate filings, and maintenance of global subsidiaries.

  • Advise oncompliance programs (commercial, data privacy, trade/export, employment) to ensure Armada operates effectively and lawfully across multiple markets.

  • Draft and negotiate key agreements that support expansion (e.g., cross-border commercial agreements, partner/reseller contracts, data/privacy agreements).

  • Collaborate with sales, finance, HR, and product teams to ensure international agreements and policies align with Armada’s objectives and compliance standards.

  • Coordinate with and manage outside counsel in foreign jurisdictions to resolve local legal questions and ensure smooth execution of projects.

  • Provide strategic legal advice to leadership on international risks, opportunities, and requirements.

  • Take on other legal projects and priorities as assigned by the Head of Legal.

Required Qualifications

  • 8+ years of experience supporting commercial transactions.

  • 3+ years of in-house experience in B2B software or systems companies, with a proven track record of leadership, efficiency, and successful deal support under critical timelines.

  • Pragmatic, business-oriented mindset.

  • Exceptional client service skills and ability to support internal stakeholders with clarity and fairness.

  • Demonstrated ability to navigate shifting priorities and challenges common to early-stage businesses.

  • Ability to operate independently with minimal oversight in complex deal negotiations.

  • Public sector legal experience strongly preferred.
