Upwork is seeking a self-motivated corporate and securities paralegal to join our award-winning legal team. In this position, you will report to and work with the company’s Vice President II, Deputy General Counsel to support the corporate and securities and commercial work at Upwork. This position requires experience in public company representation, including public company reporting requirements, corporate governance, corporate development transactions, and other important corporate and commercial matters. 

Your Responsibilities:

  • Assist in all areas related to corporate and securities matters

  • Support the preparation and review of SEC filings and earnings materials, including Forms 10-K, 10-Q, and 8-K and proxy statements 

  • Partner with stock administration team on Section 16 matters, including reviewing Forms 4

  • Support the administration and periodic updates of corporate governance policies and committee charters

  • Assist in the administration of the insider trading policy, including managing trading window logistics and reviewing Rule 10b5-1 plans

  • Support the planning and logistics for the annual stockholder meeting 

  • Coordinate the processes for annual  director & officer questionnaires and quarterly related party tracking

  • Assist with the formation of new corporate entities and support day-to-day management of corporate governance matters for corporate subsidiaries

  • Coordinate and prepare for governance-focused investor engagement meetings

  • Assist with the preparation of materials for board of directors and committee meetings, including board decks and meeting minutes

  • Work with our stock administration team on equity matters

  • Support M&A and other strategic or financing transactions, including due diligence matters

  • Assist with ESG-related matters and projects, including SEC reporting on ESG risks and opportunities.

  • Assist with general corporate matters and other protects and tasks on an as-needed basis

  • Assist with commercial contract matters, including helping with enterprise sales and vendor contracting processes. 

What it takes to catch our eye:

  • 5+ years corporate and securities experience, either at a top corporate law firm or a sophisticated in-house corporate legal team

  • Resourceful self-starter with a positive attitude and strong work ethic

  • Experience supporting the preparation and review of SEC filings, including Forms 10-K, 10-Q, and 8-K, proxy statements, and Section 16 filings

  • Assisted on mergers and acquisitions and other strategic transactions

  • Team player who welcomes responsibility

  • Strong written and verbal communications skills

  • A demonstrated ability to collaborate, as well as to work independently, balancing competing priorities in a fast-paced environment with a high level of professionalism

The annual base salary for this position in California and Washington ranges from $82,000 - $120,000. The range displayed reflects the minimum and maximum salary for this position in California and Washington, and individual base pay will depend on your skills, qualifications, experience, and location. Additionally, this position is eligible for the annual bonus plan or sales incentive plan and eligibility to participate in our long term equity incentive program.
