Commercial Counsel
About The Role:
The Commercial Counsel will be the resident point of contact for “all things contracts” (both vendor and customer facing). The ideal candidate will be commercially savvy and practical in drafting agreements. They will delight in educating stakeholders, be focused on deeply learning and understanding the business, and oriented around building processes that scale.
You will:
Draft, review, and negotiate master services agreements and DPAs with customers and work closely with Sales, Customer Success and Support teams to close both new and renewal revenue deals.
Draft, review, and negotiate a wide range of other commercial agreements, including partnership agreements, reseller agreements, vendor agreements.
Work closely with the Associate General Counsel - Product & Privacy as it relates to drafting disclosure language, updates to terms of service, and other contractual related needs.
Provide legal advice in commercially related areas including intellectual property, privacy, regulatory, and employment law.
Identify gaps and provide resources and training to go-to-market teams as it relates to contracting process and contracting terms.
Assist with other legal support tasks that arise.
Qualifications:
JD and license to practice law in at least one state.
At least 4 years of law firm or in-house experience with training in transactions or commercial contracts
Experience drafting and negotiating SaaS agreements and data processing agreements in-house at a technology company preferred.
Strong written and verbal communication skills.
Passion for partnering with Sales and closing revenue deals.
Ability to translate between business and technical risk and communicate clearly to business and technical constituencies.
Strong attention to detail.
Self-initiative that drives a desire for impact and achievement.
Comfort with fast-paced environments and aptitude to prioritize and communicate effectively with a variety of stakeholders in such an environment.
A sense of humor and above all else, a positive attitude
Preferred, but not required:
Interest in privacy and emerging areas of technology law, such as ML and AI.
Experience in in-house roles, particularly in fast-paced, high-growth environments.
Familiarity with contracts management software
Knowledge of intellectual property-related legal issues
